The role focuses on ensuring regulatory b“substance” /b and compliance with Markets in Crypto-Assets Regulation, overseeing asset safeguarding obligations, and managing inter-group and outsourcing governance. The CLO will act as a key legal and strategic advisor to the Board and senior management. /p h3Key Responsibilities: /h3 h3Regulatory Substance MiCAR Compliance /h3 ul liEnsure the company maintains robust regulatory substance and compliance with MiCAR obligations /li liProvide legal guidance on licensing, governance, and regulatory reporting requirements /li liAdvise the Board and executive leadership on regulatory developments impacting the business /li /ul h3Asset Safeguarding Oversight /h3 ul liOversee custody, safeguarding, and protection of client assets /li liAdvise on legal and contractual frameworks for asset segregation and risk mitigation /li liEnsure operational and legal controls meet regulatory expectations /li /ul h3Inter-Group Outsourcing Governance /h3 ul liManage legal aspects of inter-group arrangements and third-party outsourcing agreements /li liOversee vendor contracts, Service Level Agreements (SLAs), and outsourcing governance /li liEnsure outsourced and intra-group functions remain under the effective control of the authorised entity /li /ul pbRequirements: /b /p ul liLaw degree and qualified to practice in the Netherlands; fluency in Dutch required /li li10+ years of experience in financial services, fintech, or digital assets, including regulatory compliance /li liDeep understanding of MiCAR, EU financial services regulations, and asset safeguarding requirements /li liExperience managing outsourcing, inter-group legal arrangements, and regulatory governance /li liStrong leadership, strategic advisory, and stakeholder management skills /li /ul pbVision Mission: /b /p ul liOSL is the first SFC-licensed digital asset platform in Hong Kong and a PayFi innovator.
