Importantly, BlueHeart doesn’t require any refrigerants and doesn’t generate any CO₂e emissions. /pAbout the RolepThe Corporate Counsel is the trusted legal adviser to the business, working closely with commercial, operations, manufacturing, technology and corporate development teams. You will ensure legal compliance, manage legal risk, support international expansion, protect our intellectual property and enable commercial and operational growth. The role requires a hands‑on, pragmatic legal partner who can operate in a fast‑paced and highly innovative environment. /pLegal Advisory TransactionsulliDraft, review, negotiate and advise on key commercial contracts, including OEM agreements, licensing, supply‑chain/manufacturing contracts, NDAs and service agreements. /liliProvide legal support for commercial deals, technology licensing, joint ventures and IP arrangements. /liliConduct due diligence for partnerships, investments and strategic collaborations. Manage external legal counsel for specialised topics such as litigation, IP enforcement and cross‑border regulation. /liliAdvise commercial, manufacturing, RD and supply‑chain teams on legal risks associated with new products, market entries and customer programmes. /li /ulCorporate Governance ComplianceulliSupport governance processes, including board documentation, resolutions, subsidiary management and corporate records. /liliEnsure compliance with corporate law, contract law, manufacturing and supply‑chain regulation, export controls, EU energy and environmental rules and data privacy requirements. /liliDevelop and maintain internal policies, including code of conduct, anti‑bribery and corruption, export compliance, IP, data privacy and whistle‑blower procedures. /liliMonitor regulatory developments relevant to HVAC/heat pumps, refrigerants, incentives and energy regulations in collaboration with Public Affairs. /li /ulIntellectual Property Technology ProtectionulliSupport IP strategy with RD teams across patents, trademarks, trade secrets and licensing. /liliManage IP risk, including freedom‑to‑operate reviews, infringement assessments and licensing negotiations. /liliSupport technology transfer, manufacturing and supply‑chain arrangements from an IP and legal perspective. /liliIdentify legal risks across the business and develop mitigation strategies. /liliOversee or manage litigation, disputes, claims and investigations, directly or through external counsel. /liliSupport supply‑chain and manufacturing risk management, including liability frameworks, warranties, indemnities and product‑liability considerations. /liliAlign insurance structures and legal frameworks with the company’s scale‑up and commercial expansion. /li /ulInternational Manufacturing Legal SupportulliAdvise on cross‑border contracts, market entry requirements, foreign subsidiaries and local compliance. /liliSupport manufacturing and supply‑chain scale‑up, including supplier agreements, procurement terms, logistics, export controls and employment considerations abroad. /liliSupport legal review of EU and national incentives, grants and subsidy programmes. /li /ulOperational Legal PartnershipulliEmbed legal processes into business operations across commercial, supply‑chain, manufacturing, product and finance teams. /liliDevelop and maintain contract templates, a contract playbook and legal best practices. /liliTrain teams on legal risks, contracting, IP awareness and compliance obligations. /liliMaintain legal operations tools and systems including contract lifecycle management, IP registers, dashboards and external counsel management. /liliDelegate effectively, train others and provide structured, clear legal guidance. /li /ulWhat You BringulliQualified lawyer (LL.M or equivalent). /liliMinimum of 8 years of legal experience, ideally with in‑house exposure in technology, manufacturing, clean‑tech, energy or hardware sectors. /liliStrong transactional background, including OEM, licensing, distributor, supply‑chain and manufacturing agreements. /liliExperience with IP, technology licensing and global supply‑chain legal issues. /liliSolid understanding of EU and Dutch corporate, regulatory and export‑control frameworks. /liliStrong business acumen and ability to provide practical, risk‑balanced guidance. /liliExcellent communication skills, able to work effectively with engineers, commercial teams, executives and external counsel. /liliComfortable working in a scale‑up environment, hands‑on, flexible and able to manage ambiguity. /liliFluent in English; Dutch or additional European languages are a plus. /liliExperience with international operations, cross‑border transactions and global supply‑chain contexts. /li /ulWhat We OfferulliSalary range between €70,000 and €125,000 yearly gross depending on experience. /liliOpportunity to acquire ESOP, directly linked to company value creation and your performance. /liliHybrid work arrangement supporting autonomy and work–life balance. /liliTailored learning and development opportunities to support your continued growth. /liliAccess to OpenUp, because we prioritise mental well‑being. /liliParticipation in our pension scheme with employer contribution. /liliCommuting allowance, in line with our travel policy. xgiwjmb /liliA strategic role in a purpose‑driven scale‑up, contributing to a greener world and shaping the future of sustainable thermal technology. /li /ulbr
