You will also collaborate closely with the legal department of TTEP BV in Amsterdam.brbWhat are your key responsibilities? /bbr/pulliStructuring, drafting and negotiating commercial contracts, including:ulliGas and power supply contracts; /lili(Renewable) Power Purchase Agreements (PPAs); /liliAsset optimisation agreements; /liliAgreements with trading parties and exchanges (EFETs, MNAs and CSAs); /liliTolling agreements. /li /ul /li /ululliStructuring, drafting and negotiating MA and new business development transactions, including:ulliMoUs and Share Purchase Agreements; /liliShareholders' and partnership agreements; /liliManaging legal due diligence processes. /li /ul /li /ululliAnalysing and implementing European and Dutch legislation, regulatory developments and case law affecting energy wholesale markets and power generation activities, including:ulliThe Dutch Energy Act; /liliREMIT, EMIR, MAR and MiFID II; /liliEnvironmental and planning legislation; /liliPrivacy legislation (GDPR) and cybersecurity legislation (NIS2). /liliProviding training and practical guidance to employees regarding these laws and regulations. /liliDeveloping a strong understanding of the business and building relationships with key internal and external stakeholders, including the trading department, market participants and regulators (such as ACER, ACM and the Dutch Data Protection Authority). /li /ul /li /ululliProviding company secretarial support, including:ulliBoard and shareholder resolutions; /liliRegulatory and external information requests; /liliGovernance and compliance projects as required. /li /ul /li /ululliProviding pragmatic legal advice to procurement, IT and operational teams, including:ulliProcurement and supplier agreements; /liliLong-Term Service Agreements (LTSAs); /liliIT, software and technology agreements. /li /ul /li /ulbWhat do we expect from you? /bbrulliA university degree in Dutch law or an equivalent legal qualification. /lili3–10 years relevant experience gained in an international company or law firm, preferably with experience in the energy or utilities sector; /liliThe key responsibilities outlined above reflect the broad scope of the role.
